Vodafone Acquires Full Ownership of VodafoneThree for £4.3 Billion — UK's Largest Mobile Operator

Vodafone to Take Full Ownership of VodafoneThree — Faster Than Expected

Vodafone Group has reached an agreement for the buyout of CK Hutchison Group Telecom Holding Limited (CKHGT) from the VodafoneThree joint venture for £4.3 billion (€4.9 billion) via a cancellation of shares. Following completion of the transaction, Vodafone will become the sole owner of VodafoneThree, the UK's largest mobile operator and one of the fastest growing broadband providers.

The Story So Far

On June 14, 2023, Vodafone announced it had agreed a merger of Vodafone UK and Three UK. The merger subsequently completed on May 31, 2025, as a result of which VodafoneThree is currently 51% owned by Vodafone and 49% by CKHGT.

Why Now and Not After 3 Years?

The only surprise about the move is its speed: under the terms of the merger, Vodafone had the option of acquiring CK Hutchison's stake after three years if the merged group reached an enterprise value of £16.5 billion. Clearly the earlier buyout is acceptable to both parties.

CK Hutchison has been reducing debt and selling assets across several markets, making an earlier exit from VodafoneThree financially attractive.

Figures and Valuation

Vodafone will fund VodafoneThree's cancellation of CKHGT's shares with £4.3 billion in cash. The transaction implies an enterprise value for VodafoneThree of £13.85 billion. Net debt was £5.08 billion as at March 31, 2026.

Current Status and Timeline

The transaction is expected to be completed in H2 2026, following approval under the UK National Security and Investment Act. Max Taylor will remain as CEO, leading the existing VodafoneThree executive team.

Impact on UK Consumers

This brings VodafoneThree's 27 million customers under one roof much sooner than expected. Vodafone expects to realise £700 million in annual cost and capital expenditure synergies by financial year 2030.
